Contract Payment Addendum
MASTER SERVICES AGREEMENT NON-CII APPLICATION ADDENDUM PAYMENT SERVICES
This Non-CII Application Addendum governs a Customer’s purchase and use of third party payments services, all as indicated on the applicable Service Order Form. This Addendum is subject to, and expressly made a part of, the terms and conditions of the MSA, including but not limited to Section 5 thereof (Non-CII Providers).
1. Pursuant to the Service Order Form, Customer has agreed to purchase certain third party payment services, as a means to facilitate payment for CII Services purchased under the MSA.2. With respect to Non-CII Application payment services requested by Customer, Customer agrees.
a. Customer will use the third-party payment services vendor selected by CII as Provider Partner (“Vendor”);
b. All Non-CII Application payment services are subject to Vendor’s terms and conditions listed below between Vendor and Customer;
c. Subject to the terms and conditions of the Vendor Agreement, Customer agrees that it will terminate its Vendor relationship upon the prior request of CII, in the event that CII elects to transition its customers to an alternative third party payment service vendor;
d. CII makes no representation or warranty of any kind with respect to the Vendor’s payment services, and CII will not be liable to Customer for any direct, indirect, special or consequential damages of any kind.
e. Customer agrees that CII may contact Customer’s home owner associations, homeowners and residents for direct marketing of CII services and offerings, including but not limited to proprietary CII payment service offerings.
